1. Acceptance of Terms

By accessing or using TubeNest (the "Service"), operated by STVIGA LLC ("TubeNest", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service. IF YOU ARE USING TUBENEST ON BEHALF OF AN ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE ALL NECESSARY RIGHT, AUTHORITY, AND CONSENT TO BIND SUCH ENTITY. IN SUCH CASES, REFERENCES TO "YOU" OR "YOUR" APPLY TO BOTH THE INDIVIDUAL USER AND THE ENTITY. Eligibility: You must be at least 13 years old and have the legal capacity to enter into these Terms. Changes to Terms: We may modify these Terms at any time. Material updates will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

2. Description of Service

TubeNest is a YouTube video organization and management platform that allows you to build a structured library of the videos you watch.

• Save YouTube videos with contextual information.
• Organize videos into custom collections.
• Tag videos for easy discovery.
• Add personal notes to saved videos.
• Search and filter your video library.
• Access your organized content across devices.

2.1 Third-Party Services

TubeNest integrates with YouTube and other third-party services. Your use of those services is subject to their respective terms of service and privacy policies. TubeNest is not responsible for the content, policies, or practices of third-party services.

2.2 YouTube API Services

TubeNest uses YouTube API Services. By using TubeNest, you agree to the YouTube Terms of Service at https://www.youtube.com/t/terms. You can revoke TubeNest access to your YouTube data via the Google security settings page at https://security.google.com/settings/security/permissions.

3.1 Account Creation

To use certain features of TubeNest, you must create an account and comply with the following obligations:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activities that occur under your account.

3.2 Account Termination

You may terminate your account at any time through settings or by contacting us. We may suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activities, remain inactive for an extended period, or when required by law. Upon termination, your access to the Service ceases and we may delete your data in line with our retention policies.

4. Subscription Plans and Payments

TubeNest offers free and paid subscription plans featured on our website. Subscription fees are billed in advance on a monthly or annual basis, payments are due immediately upon subscription or renewal, and you authorize us to charge your payment method on file. Paid subscriptions renew automatically unless you cancel before the renewal date. Cancellations take effect at the end of the current billing period, price changes take effect after at least 30 days' notice, and free trials convert to paid plans unless canceled before the trial ends.

4.6 Refund Policy

Fees are non-refundable except where required by law. At our discretion, exceptions may be made in the following cases:

• Service outages lasting more than 48 consecutive hours.
• Billing errors attributable to TubeNest.
• Situations in which applicable law mandates a refund.

5.1 Your Content

You retain all rights to the collections, tags, notes, and organizational structures you create in TubeNest. You grant us a limited, non-exclusive license to store, process, and display your content solely to provide the Service.

5.2 Content Responsibility

You are solely responsible for the content you save and organize. This includes ensuring you have the right to access the videos you store, complying with YouTube's Terms of Service and applicable copyright laws, and maintaining the accuracy of any notes, tags, or descriptions you add.

5.3 Prohibited Conduct

You agree not to engage in the following activities:

• Violate laws, regulations, or third-party rights.
• Use TubeNest to infringe intellectual property rights.
• Share your account credentials with others.
• Attempt to gain unauthorized access to the Service or other accounts.
• Use automated tools such as bots or scrapers without permission.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Remove, alter, or obscure proprietary notices.
• Use the Service for commercial purposes without written consent.
• Interfere with or disrupt the Service or its servers.
• Upload viruses, malware, or other malicious code.
• Harass, threaten, or harm other users.
• Impersonate any person or entity.
• Collect information about other users without consent.

5.4 Enforcement

We may investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, reporting to law enforcement, or pursuing legal remedies.

6. Intellectual Property Rights

The Service, including its design, code, features, graphics, and documentation (excluding user content), is owned by STVIGA LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use TubeNest for personal or internal business purposes in accordance with these Terms. "TubeNest" and related logos are trademarks of STVIGA LLC. You may not use these trademarks without prior written permission. If you provide feedback, suggestions, or ideas about TubeNest, you grant us the right to use them without obligation to you.

7. Privacy and Data Protection

Your use of TubeNest is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. We implement reasonable security measures, but no method of transmission or storage is completely secure. Our use of information received from YouTube APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We retain your data while your account is active or as needed to deliver the Service, and may retain certain information after termination as required by law or for legitimate business purposes. You may export your TubeNest data at any time through account settings.

8.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free.
• Defects will be corrected.
• The Service is free of viruses or harmful components.
• Results obtained from the Service will be accurate or reliable.

8.2 YouTube Content

TubeNest does not host or control YouTube videos. We are not responsible for the availability of videos you save, changes to YouTube's API or terms, or content decisions made by YouTube or creators.

8.3 Limitation of Liability

To the maximum extent permitted by law, STVIGA LLC, its officers, directors, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or use; damages arising from unauthorized access to your account; interruptions to the Service; errors or omissions in content; or damages related to your use of or inability to use the Service. Our total liability for all claims related to the Service will not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

8.4 Exceptions

Some jurisdictions do not allow certain warranty disclaimers or liability limitations. In such cases, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless STVIGA LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, violation of any rights of another party, your content or conduct, or your violation of applicable laws or regulations.

10. DMCA Copyright Policy

We respect intellectual property rights and expect our users to do the same. TubeNest does not host video content; we provide tools to organize links to YouTube videos.

10.2 Copyright Infringement Notification

If you believe your copyrighted work has been infringed through the Service, provide our Copyright Agent with the following information:

• A physical or electronic signature of the copyright owner or authorized representative.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing.
• Your contact information, including address, telephone number, and email.
• A statement that you have a good faith belief that use of the material is not authorized.
• A statement that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

10.3 Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification that complies with the DMCA.

10.4 Repeat Infringers

We will terminate accounts of repeat copyright infringers in appropriate circumstances.

11.1 Governing Law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles.

11.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration, except that:

• You may assert claims in small claims court if they qualify.
• Either party may seek equitable relief in court for intellectual property infringement.
• Arbitration will be conducted by the American Arbitration Association under its Commercial Arbitration Rules.
• Arbitration will take place in New Mexico unless the parties agree otherwise.
• Each party bears its own costs and attorneys' fees unless the arbitrator awards them to the prevailing party.
• You and STVIGA LLC agree that claims will be brought only in an individual capacity, not as part of a class or representative proceeding.

11.3 Opt-Out

You may opt out of the arbitration agreement by sending written notice within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

12. General Provisions

These Terms, together with our Privacy Policy and any other legal notices, constitute the entire agreement between you and STVIGA LLC regarding the Service. Failure to enforce any right does not waive it. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign without restriction. We are not liable for delays caused by circumstances beyond our control, including natural disasters, war, terrorism, pandemics, government actions, or internet failures. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship. We may send notices via email, through the Service, or by posting on our website, and you consent to receive electronic communications. You agree to comply with applicable export and import laws. Provisions that should survive termination do so, including Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.

14. Acknowledgment

By using TubeNest, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them. If you do not agree, you must not use the Service.
